An Annual Return is a yearly filing that confirms your company is still active and that your CIPC records are accurate. It has nothing to do with SARS or taxes — it is purely an administrative requirement to keep the company register current. Despite the similar name, a CIPC Annual Return and a SARS tax return are completely different documents filed with completely different government departments.
Your Annual Return is due every year on the anniversary of your registration date. CIPC opens the filing window 30 business days before that date, so you do not have to wait for the exact day to arrive. Filing early is fine and is generally the safest approach since the system can experience delays at busy periods.

Missing your Annual Return has a very predictable and escalating set of consequences. After one missed year your company status changes to Non-Compliant. This is public information — it shows up when anyone searches your company on the CIPC portal. Banks, funders, landlords, and procurement departments do check this before entering into any agreement with you.
After two or more consecutive missed years CIPC begins formal deregistration proceedings. If the process completes, your company is Finally Deregistered and no longer legally exists. Any contracts your company signed while deregistered may be unenforceable, and reopening the company requires a formal reinstatement application that takes significantly longer and costs more than simply keeping your returns up to date would have.
If you are currently in deregistration proceedings, you can still stop the process by filing all outstanding Annual Returns and updating your Beneficial Ownership Declaration before the final deregistration date is reached. Once finally deregistered, the only route back is a reinstatement application.
CIPC sends reminders to your registered contact details when your Annual Return is due. If those details are outdated you will receive no reminder, but the obligation still exists. From July 2024 CIPC also blocks Annual Return processing if your Beneficial Ownership Declaration is not current — so you need to file that first.
