How to Update CIPC Director Details and Company Records

If a director joins your company, resigns, or is removed, you must notify CIPC within 10 business days of the change. This is a legal obligation under the Companies Act, not an administrative nicety. Failing to update your director records within the required timeframe can expose both the company and the directors to compliance penalties.

How to notify CIPC of a director change

The form you need is a CoR39, filed through CIPC eServices at eservices.cipc.co.za. You will need the relevant director's South African ID number or passport number for foreign nationals, their contact details (email and cell number), and the effective date of the change — meaning the actual date the appointment took effect or the resignation was accepted, not the date you are filing.

Why keeping director records current matters

Your registered director information is what banks, funders, and procurement officers use to verify who has authority to act on behalf of your company. A former director who remains on CIPC records technically still appears to have standing with your business, which can create serious complications if there is any dispute or if they are uncooperative.

It also affects your banking. Many banks require that the signatories on your business account match your CIPC director records. If a director resigns but is not removed from CIPC records, your bank may continue to treat them as an authorised signatory until the CIPC records are updated and you formally notify the bank of the change.

Keeping your registered address current

Your company's registered address must also be kept current at CIPC at all times. This is the address CIPC uses for all formal notices — including compliance warnings, Annual Return reminders, and deregistration notifications. If it is outdated, those notices go nowhere but the obligation still exists. Update your registered address through CIPC eServices whenever it changes.

Other records you can update

Beyond directors and address, you can also update your company's registered email address, cell number, and financial year end date through CIPC eServices. These contact details are what CIPC uses to send OTPs for filings like your Beneficial Ownership Declaration. Keeping them current is what makes the rest of the compliance process work.
