Terms of Service

By accessing or using the GoodSource BOS platform (the "Service") operated by GOODSOURCE BOS (PTY) LTD ("GoodSource", "we", "us", or "our"), a private company incorporated in the Republic of South Africa with registration number 2026/160970/07, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and GoodSource BOS (Pty) Ltd.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes by email.

GoodSource BOS is a Software-as-a-Service (SaaS) platform designed to assist South African businesses in understanding and managing their statutory compliance obligations. The Service includes, but is not limited to:

• A personalised compliance dashboard tracking CIPC and SARS obligations
• A compliance calendar with deadline reminders based on your business profile
• A document vault for storing compliance-related documents
• A knowledge base of plain-language compliance guides
• Company registration status checks against CIPC gazette publications
• Beneficial ownership and annual return compliance tracking

GoodSource BOS is an information and tracking tool only. Nothing on this platform constitutes legal advice, tax advice, accounting advice, or professional advice of any kind. You should consult qualified professionals for specific advice regarding your obligations.

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately at langamadonsela89@gmail.com if you become aware of any unauthorised use of your account.

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or are associated with fraudulent activity.

GoodSource BOS offers both free and paid subscription tiers. Paid subscriptions are billed monthly or annually as selected at the time of purchase. All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable.

Payments are processed through third-party payment processors. By providing payment information, you authorise us to charge your chosen payment method for subscription fees.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a subscription period except where required by the Consumer Protection Act 68 of 2008.

We reserve the right to change subscription pricing at any time. We will provide at least 30 days notice of price changes to existing subscribers.

You agree not to use the Service to:

• Violate any applicable South African or international laws or regulations
• Upload or transmit malicious code, viruses, or any software designed to damage or disrupt the Service
• Attempt to gain unauthorised access to any portion of the Service or its related systems
• Scrape, harvest, or systematically collect data from the Service without express written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service for any fraudulent purpose or to engage in fraudulent activity
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service

Violation of this section may result in immediate termination of your account and, where appropriate, referral to law enforcement authorities.

The Service, including all content, features, functionality, software, text, graphics, logos, and other materials, is owned by GOODSOURCE BOS (PTY) LTD and is protected by South African copyright law, the Copyright Act 98 of 1978, and applicable international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business compliance purposes in accordance with these Terms.

You retain ownership of any data or content you upload to the Service. By uploading content, you grant us a limited licence to store, process, and display such content solely for the purpose of providing the Service to you.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any portion of the Service without our express written consent.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any compliance information provided through the Service.

Compliance deadlines and requirements change. While we endeavour to keep information current, you remain solely responsible for verifying your compliance obligations directly with CIPC, SARS, and other relevant authorities.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE SOUTH AFRICAN LAW, GOODSOURCE BOS (PTY) LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising under or related to these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or ZAR 500 where no fees have been paid.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by South African law.

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

These Terms are subject to the Electronic Communications and Transactions Act 25 of 2002, the Consumer Protection Act 68 of 2008, the Protection of Personal Information Act 4 of 2013, and all other applicable South African legislation.

In the event of a dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, either party may refer the dispute to mediation in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA) before commencing litigation.

If mediation fails, the parties submit to the non-exclusive jurisdiction of the South Gauteng High Court, Johannesburg.

Nothing in this clause prevents either party from seeking urgent interdict or other urgent relief from a competent court.

You may terminate your account at any time by contacting us at langamadonsela89@gmail.com or through your account settings.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include but are not limited to breach of these Terms, non-payment of fees, or where we reasonably believe your use of the Service poses a risk to us or other users.

Upon termination, your right to use the Service ceases immediately. We will retain your data for the period required by applicable law and our data retention policy, after which it will be deleted. You may request a copy of your data prior to deletion.
